Terms and Conditions

1. Description of Service

RunningFoto provides a technology platform that allows event photographers ("Photographers") to host, manage, and sell digital photographs to event participants ("Runners").

• We are a technology provider: RunningFoto is not the creator, owner, or seller of the photographs. We provide the tools (hosting, AI matching, checkout UI) that enable Photographers to run their own business.
• Transactions: When a Runner purchases a photo, the legal transaction is between the Runner and the specific Photographer. RunningFoto is not a party to this transaction.

2. Photographer Accounts & Subscriptions

Photographers must register for an account and select a subscription plan (e.g., Silver, Gold) to host events on RunningFoto.

• Billing: Subscription fees are billed in advance on a recurring monthly or yearly basis. You may cancel your subscription at any time via your Workspace.
• Storage Limits: Photographers are responsible for managing their storage limits. If your account exceeds its storage quota, we reserve the right to limit further uploads until you upgrade your plan or clear older files.
• Cancellations: If you cancel your subscription, your public storefront will be deactivated at the end of your current billing cycle. Your data and photos will be retained for 30 days before permanent deletion.

3. Content Ownership & Responsibilities

We respect your intellectual property rights. Photographers retain 100% ownership and copyright of all photos uploaded to the platform.

• License to Host: By uploading photos, you grant RunningFoto a limited, worldwide, non-exclusive license to host, display, and process these images (including applying our AI matching algorithms) solely for the purpose of operating the Service.
• Right to Sell: You represent and warrant that you have the necessary rights, licenses, and permissions to sell the photos you upload to RunningFoto.
• Watermarking: RunningFoto automatically applies protective watermarks to low-resolution previews. The high-resolution, unwatermarked files are only released to Runners upon successful payment.

4. Payouts and Payment Processing

RunningFoto does not take a commission or cut of your individual photo sales.

• Stripe Integration: Photographers must connect a valid Stripe account to receive funds. All photo purchases are routed directly to your connected Stripe account.
• Fees: While RunningFoto takes 0% commission, you are solely responsible for standard payment processing fees charged directly by Stripe.
• Refunds: Because transactions are direct between the Photographer and the Runner, Photographers are solely responsible for handling customer disputes and issuing refunds from their own Stripe dashboard.

5. Prohibited Conduct

To protect our platform and users, you agree not to engage in any of the following activities:

• Uploading explicit, illegal, or grossly offensive content.
• Using the Service for any unlawful purpose or in violation of any local, state, or international law.
• Attempting to hack, scrape, or reverse-engineer our AI matching engine or website infrastructure.
• Selling photos of individuals where you explicitly do not have the right or permission to do so.

6. Limitation of Liability

To the maximum extent permitted by law, RunningFoto shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service, including disputes between Photographers and Runners.
• Unauthorized access, use, or alteration of your transmissions or content.

7. Changes to the Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.
